Introduction & Review Notes
This document consolidates and supersedes prior draft Terms & Conditions for the Mykolabs s.r.o. online store (www.mykolabs.com), prepared with reference to:
• Directive 2011/83/EU (Consumer Rights Directive)
• Regulation (EC) No 178/2002 (General Food Law)
• Directive 2000/31/EC (E-Commerce Directive)
• Czech Civil Code (Act No. 89/2012 Coll.) and Consumer Protection Act (Act No. 634/1992 Coll.)
• Cross-border B2C sales within the EU and to the UK, Switzerland and Turkey
Sections marked require confirmation by Czech counsel before publication. Key open items are summarised below:
1. Confirmation of the company’s VAT ID and registration details
2. Final wording on product classification (food supplements vs. other categories)

PART A – TERMS AND CONDITIONS OF SALE
1. Company Information
These Terms and Conditions (“Terms”) govern the use of the website www.mykolabs.com (the “Website”) and all contracts concluded between Mykolabs s.r.o. (“Mykolabs”, “we”, “us”, “our”) and any person placing an order or using the Website (“Customer”, “you”, “User”).

By accessing the Website, browsing our products, or placing an order, you confirm that you have read, understood and agree to be bound by these Terms, including the Customer Information set out in Part B. If you do not agree, please do not use the Website or place an order.
We may amend these Terms at any time. Changes will be published on this page. The version in force at the time you place an order applies to that order.
2. Scope of Application
These Terms apply to all contracts for the sale of goods concluded through the Website between Mykolabs and Customers, whether acting as consumers or businesses, located within the European Union, the United Kingdom, Switzerland, Turkey, or other countries where delivery is offered.
Where the Customer is a consumer habitually resident in the EU, UK or another jurisdiction whose law grants mandatory consumer-protection rights that cannot be waived by agreement, those mandatory rights remain unaffected by these Terms, regardless of the governing law clause in Section 14.
Where the Customer is a business (acting wholly or mainly for purposes related to their trade, business, craft or profession), the consumer-specific provisions of these Terms (including the right of withdrawal in Sections 9–11) do not apply.
3. Conclusion of the Contract
The display of products on the Website, including descriptions and prices, constitutes an invitation to treat and not a binding offers to sell.
By completing the checkout process and submitting an order, the Customer makes a binding offer to purchase the selected products on these Terms.
Mykolabs may accept that offer by sending an order confirmation e-mail to the address provided by the Customer. The contract of sale is concluded only upon dispatch of that order confirmation. Mykolabs reserves the right to refuse or cancel any order, for example in the event of stock unavailability, pricing errors, or suspected fraud, in which case any payment already made will be refunded without undue delay.
Order confirmations and these Terms will be provided in a durable format (e.g. e-mail) and the Customer is advised to retain a copy.
4. Products and Classification
The products offered on the Website are marketed as food supplements within the meaning of Directive 2002/46/EC and Regulation (EC) No 178/2002, as implemented in Czech and other applicable national law.
Food supplements:
• are concentrated sources of nutrients or other substances with a nutritional or physiological effect, marketed in dose form;
• are not medicinal products and are not intended to diagnose, treat, cure or prevent any disease;
• are not a substitute for a varied and balanced diet and a healthy lifestyle.
Product descriptions, recommended use, and any health-related claims displayed on the Website are provided in accordance with applicable labelling and health-claims legislation (including Regulation (EC) No 1924/2006 on nutrition and health claims, where applicable).
5. Non-Medical / Health Disclaimer
All content on the Website, including product descriptions, articles, and any wellness-related information, is provided for general informational purposes only and does not constitute medical, dietary, or other professional advice.
Customers should consult a doctor, pharmacist, or other qualified healthcare professional before using any food supplement, in particular if they:
• are pregnant or breastfeeding;
• are taking prescription or over-the-counter medication;
• have a known medical condition or allergy;
• are under 18 years of age.
By placing an order, you confirm that you are at least 18 years of age or have obtained the consent of a parent or legal guardian where required by applicable law.
Mykolabs does not warrant that any product will produce any particular result and is not liable for decisions made by Customers based on information provided on the Website, save as set out in Section 12.
6. Prices and VAT
All prices displayed on the Website are stated in EUR (or, where applicable, in the local currency selected by the Customer at checkout) and include statutory VAT at the rate applicable at the time of the order, unless stated otherwise.
For deliveries to consumers within the EU, VAT is charged and accounted for in accordance with applicable EU and Czech VAT legislation, including, where relevant, the Union One-Stop Shop (OSS) scheme for intra-Community distance sales of goods.
For deliveries to non-EU destinations (including the UK, Switzerland and Turkey), the price displayed may be exclusive of local import VAT, customs duties, and other charges levied by the destination country, which are the responsibility of the Customer (see Section 8).
Shipping costs are shown separately during checkout prior to completion of the order.
7. Payment Methods
Payment may be made using the methods displayed during checkout, which may include:
• Advance payment by bank transfer
• SEPA direct debit
• Credit/debit card
• Shop Pay
• PayPal Checkout (including PayPal balance, credit card, Apple Pay and Google Pay via PayPal)
Bank transfer details (Raiffeisenbank) are provided on the order confirmation or invoice. The order will be processed once payment has been received in full, save where invoice payment terms apply.
Mykolabs reserves the right to limit the available payment methods for certain orders, products, or Customers, for example to manage fraud risk.
8. Shipping and Delivery
Delivery is currently offered to:
• All European Union member states
• United Kingdom, Switzerland and Turkey
Delivery to other countries may be arranged on request by contacting info@mykolabs.com prior to placing an order.
Orders are processed and dispatched within 1–5 business days of order confirmation (same-day dispatch for orders placed before 2 p.m. UK time on a business day, where stock allows). If a product is temporarily out of stock but is being restocked, dispatch may be delayed by a further 1–7 business days; if a product will not be restocked, the Customer will be notified by e-mail and offered a refund or alternative.
Risk of loss or damage to the products passes to the Customer upon delivery to the Customer or to a third party designated by the Customer, except where the Customer is a consumer, in which case risk passes upon delivery to the Customer or a carrier chosen by the Customer (rather than by Mykolabs), in accordance with applicable consumer protection law.
For deliveries outside the European Union, the goods may be subject to import duties, taxes (including VAT or GST) and customs clearance fees levied by the destination country. These charges are not included in the order total and are the sole responsibility of the Customer. Mykolabs recommends Customers check requirements with their local customs authority before ordering.

9. Right of Withdrawal (EU/EEA and UK Consumers)
If you are a consumer resident in the EU, EEA or United Kingdom, you have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period expires 14 calendar days from the day on which you, or a third party indicated by you (other than the carrier), acquires physical possession of the last item of your order.
To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g. an e-mail to info@mykolabs.com). You may, but are not obliged to, use a standard withdrawal form; a copy is available on request.
To meet the withdrawal deadline, it is sufficient to send your communication before the withdrawal period expires.
Effects of withdrawal: if you withdraw within the permitted period (see Section 10 for exclusions), we will reimburse all payments received from you, including standard delivery costs, without undue delay and in any event within 14 days of being informed of your decision to withdraw, using the same means of payment used for the original transaction, unless expressly agreed otherwise. We may withhold reimbursement until we have received the goods back, or you have supplied evidence of having sent them back, whichever is the earlier.
10. Exclusion / Limits of the Right of Withdrawal
In accordance with applicable consumer protection law (including Article 16(e) of Directive 2011/83/EU and the corresponding provisions of the Czech Civil Code), the right of withdrawal does not apply to:
• the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, where the seal has been removed by the Customer after delivery.
This exclusion applies in particular to food supplements supplied in sealed packaging (e.g. sealed jars, pouches, bottles, or blister packs). Once such packaging has been opened or the seal broken, the product can no longer be returned for hygiene reasons, and the right of withdrawal under Section 9 does not apply to that item.
For products that remain sealed and unopened, the standard withdrawal period in Section 9 (and the extended voluntary return period in Section 11, where applicable) continues to apply.
This exclusion applies to all food supplements, chocolates, functional foods, and other consumable products supplied by Mykolabs in sealed packaging.
11. Returns, Refunds and Voluntary Return Policy
11.1 Food Supplements and Chocolate Products
Due to health protection, hygiene, and food safety requirements, Mykolabs does not accept returns of food supplements, chocolates, or other consumable products that have been opened, unsealed, partially consumed, or otherwise altered after delivery.
Customers may exercise their statutory right of withdrawal only in respect of products that remain unopened, unused, and in their original sealed packaging.
11.2 Unopened Products
Where a Customer wishes to withdraw from the contract within the applicable withdrawal period, products must be returned unopened, unused, and in their original sealed packaging. The Customer must contact info@mykolabs.com before returning any item.
Returned products that do not meet these conditions may be refused and returned to the Customer.
11.3 Damaged, Defective or Incorrect Products
If a product arrives damaged, defective, contaminated, incomplete, or if an incorrect item has been supplied, the Customer should contact info@mykolabs.com as soon as reasonably possible after delivery and provide photographs where requested.
Following review, Mykolabs may, at its discretion and in accordance with applicable consumer protection laws, provide a replacement product, refund, store credit, or another appropriate remedy.
11.4 Refund Processing
Where a refund is approved, it will be processed using the original payment method within 10 business days after approval. Processing times may vary depending on the Customer’s bank or payment provider.
11.5 Exchanges
For food safety and stock management reasons, Mykolabs does not offer direct product exchanges. Customers wishing to purchase a different product should place a new order.
12. Statutory Warranty and Limitation of Liability
Statutory warranty rights apply in accordance with the Czech Civil Code and, where the Customer is an EU/UK consumer, the consumer protection legislation of their country of residence, including the legal guarantee of conformity for goods (minimum 2 months from delivery, or longer where required by local law).
Subject to the remainder of this Section, Mykolabs’ liability is limited as follows:
• Mykolabs is not liable for damages arising from improper, excessive, or non-recommended use of the products, use contrary to the instructions or warnings provided, or use by individuals for whom the products are not suitable (see Section 5).
• Mykolabs is not liable for indirect, incidental, or consequential losses, save where such losses arise from Mykolabs’ breach of a legal guarantee of conformity or from death or personal injury caused by Mykolabs’ negligence.
• Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under the law applicable to the Customer, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for breach of statutory consumer guarantees.
13. Intellectual Property
All content on the Website – including text, graphics, logos, product images, and trademarks – is owned by Mykolabs s.r.o. or its licensors and is protected by applicable intellectual property laws. No part of the Website may be reproduced, distributed, or used commercially without prior written consent, save for ordinary personal, non-commercial use of the Website to browse and place orders.
14. Customer Reviews and User Content
Only Customers who have purchased a product may submit a review of that product, via the review functionality made available on the Website.
By submitting a review or other content (“User Content”), the Customer grants Mykolabs a worldwide, non-exclusive, royalty-free licence to use, reproduce, publish, and distribute that User Content (including any name or likeness contained in it) in connection with the operation and promotion of the Website and Mykolabs’ business, for as long as the relevant content remains protected by intellectual property rights. The Customer warrants that they hold all rights necessary to grant this licence.
User Content must not be unlawful, defamatory, obscene, misleading, or in breach of these Terms. Mykolabs does not pre-screen reviews but reserves the right to review, edit, or remove any User Content, particularly where it breaches these Terms or applicable law (cf. Section 5 of Act No. 480/2004 Coll. on certain information society services).
15. Third-Party Information and Links
The Website may reference or link to third-party sources or websites that Mykolabs considers reliable. Mykolabs does not control and is not responsible for the accuracy of third-party content or for the availability or content of linked third-party websites.
16. Governing Law and Jurisdiction
These Terms, and any contract concluded through the Website, are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Where the Customer is a consumer habitually resident in another EU/EEA member state or the United Kingdom, this choice of law does not deprive the Customer of the protection afforded by mandatory provisions of the law of their country of habitual residence, and the Customer may also be entitled to bring proceedings before, and be sued in, the courts of that country, in accordance with applicable jurisdiction rules (e.g. Regulation (EU) No 1215/2012).
Subject to the foregoing, the courts of the Czech Republic shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
17. Force Majeure
Mykolabs shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, governmental actions, customs delays, transport disruptions, labour disputes, cyber incidents, supplier failures, or interruptions to communication networks.
18. Amendments
Mykolabs may amend these Terms at any time, for example to reflect changes in law, our products, or our business practices. The version of the Terms published on the Website at the time an order is placed governs that order. Material changes will be highlighted on the Website.

PART B – CUSTOMER INFORMATION (EU CONSUMER RIGHTS)
In accordance with Directive 2011/83/EU and applicable Czech implementing legislation, the following information is provided to consumers prior to the conclusion of a contract:

Main Characteristics of the Goods
The main characteristics of each product (including ingredients, intended use, and any applicable warnings) are set out on the relevant product page on the Website.
Total Price and Additional Costs
The total price, including VAT where applicable, is shown before the order is placed. Delivery costs are shown separately during checkout. For deliveries outside the EU, additional customs duties, import VAT, or other charges may be payable by the Customer and are not included in the price shown on the Website.
Payment, Delivery and Performance
Accepted payment methods and available delivery options are presented during checkout (see Sections 7 and 8 of Part A). The contract is performed by dispatch and delivery of the ordered goods to the address provided by the Customer.
Right of Withdrawal
EU/EEA and UK consumers have a 14-day right of withdrawal as described in Section 9 of Part A, subject to the exclusions in Section 10 (sealed/hygiene goods) and any voluntary extended return terms in Section 11.
Complaints
Complaints regarding products or orders may be submitted to info@mykolabs.com. Mykolabs will acknowledge and address complaints without undue delay.
Warranty
Statutory warranty and legal guarantee of conformity rights apply as described in Section 12 of Part A.
Out-of-Court Dispute Resolution
Consumers resident in the EU may also be entitled to use the EU Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr, or to refer disputes to the Czech Trade Inspection Authority (Česká obchodní inspekce) as the relevant out-of-court dispute resolution body, where applicable.
PART C – SHIPPING POLICY
This Shipping Policy forms part of, and should be read together with, our Terms and Conditions.
General
• Orders are processed and dispatched within 1–5 business days (Monday–Friday, excluding public holidays).
• Orders placed before 2 p.m. (UK time) on a business day are typically dispatched the same day, stock permitting; later orders are dispatched the next business day.
• Each shipment includes an invoice, which also serves as proof of purchase and warranty document.
• Shipping costs are calculated automatically at checkout based on destination, weight and chosen delivery method, and are shown before payment is completed.
• Risk of loss passes to the Customer on delivery, except as set out in Section 8 of the Terms for consumers.
• Mykolabs delivers orders only to valid residential addresses, business addresses, and approved carrier collection or pickup points. We do not deliver to public institutions, government offices, schools, universities, theatres, hospitals, public facilities, or other locations where the recipient cannot reasonably accept and take possession of the delivery. We reserve the right to refuse, cancel, or request an alternative delivery address where a provided delivery location is unsuitable for successful delivery.
United Kingdom
• Free standard delivery on all UK mainland orders.
• Orders under £60.00: sent via Royal Mail standard delivery, typically arriving within 2–3 business days.
• Orders of £60.00 and over: sent via DHL (signature required), typically next business day for orders placed before 2 p.m.
• Optional next-business-day DHL courier upgrade available for orders under £60.00 for a flat fee of £6.00.
• Some deliveries may require a signature; Customers may specify an alternate delivery address (e.g. workplace) or authorise the parcel to be left in a safe place at their own risk.
European Union
• Delivered via DHL courier or Royal Mail Air, depending on weight: parcels up to 2 kg may be sent via Royal Mail Air; parcels over 2 kg are sent via international courier.
• Shipping costs are calculated at checkout based on destination and weight.
• EU orders are sent on a duties-paid (VAT-inclusive) basis where the EU OSS scheme applies; please see Section 6 of the Terms.
• Local taxes or handling charges may still apply in some cases; Customers should check with local authorities if unsure.
International (Switzerland, Turkey & Other Approved Destinations)
• Available to Switzerland, Turkey, and over 70 other international destinations.
• Parcels up to 2 kg are sent via Royal Mail Air; for parcels over 2 kg, please contact info@mykolabs.com for a shipping quote before ordering.
• Postage costs are calculated at checkout where available, or quoted on request.
• International orders may be subject to import duties, taxes, and customs clearance fees charged by the destination country. These are not included in the order total and are payable by the Customer on or before delivery.
• Delivery to destinations not listed on the Website may be arranged on request via info@mykolabs.com.
Delays and Liability
• Delivery estimates are not guaranteed and may be affected by courier delays, customs processing, or circumstances beyond our control.
• If a parcel is left at the Customer’s request in a location without a signature (e.g. on the doorstep or with a colleague), Mykolabs cannot accept responsibility for any resulting loss or damage.
• If an order does not arrive within a reasonable time, please contact info@mykolabs.com so we can investigate with the courier.
